Terms of Sale
Direct answer
What terms apply when I order coconut sugar from the factory?
Every order has a proforma invoice. It decides that order’s price, quantity, specification, Incoterm and ship date; these terms cover everything else. An order is confirmed when the 30% down payment arrives against a proforma invoice the buyer has accepted. The terms in force on the date of the proforma invoice apply to that order. Sales contracts are governed by Indonesian law.

The proforma invoice
Every order has a proforma invoice. It decides that order’s price, quantity, specification, Incoterm and ship date; these terms cover everything else.
Order confirmation
An order is confirmed when the 30% down payment arrives against a proforma invoice the buyer has accepted. Lead time counts from then.
2. Products, specification and minimum order
Products and specification
The factory produces coconut sugar in two forms: granulated (mesh 30) and powder (mesh 50). Block or cube sugar and nectar syrup are not produced.
The specification is as written on the proforma invoice. An approved sample is the reference for colour and mesh.
Minimum order
The minimum order is 1 pallet (1.5 metric tons).
3. Prices, payment and ownership
Quotes, currency and Incoterms
The proforma invoice decides each order’s price. The FOB price bands are published on coconut sugar price per ton (FOB) and terms.
- A quoted price is valid for 5 working days.
- Quotes and invoices are in US dollars.
- Incoterms offered: EXW, FOB, CFR (CNF) and CIF. The Incoterms edition is Incoterms 2020.
- FOB ports: Semarang or Surabaya.
- The FOB band includes standard export packaging; printed private-label packaging is quoted separately and added on top.
Payment
Payment is staged: a 30% down payment, then the balance against the Bill of Lading, no later than one week after the B/L is issued.
- EXW orders. On an EXW order, the balance is due before the goods are released for collection.
- Letter of credit. A letter of credit is also accepted. It is irrevocable and at sight. When the factory asks, it is confirmed at the buyer’s cost.
- Bank charges. Each side pays its own bank’s charges.
- Late payment. No interest is charged on late payment. The original documents stay with the factory until the balance is paid.
- Bank details. Bank details appear only on the proforma invoice and are never changed by email alone.
Ownership
Ownership of the goods passes to the buyer on payment in full.
4. Lead time and delays
Lead time
The proforma invoice decides each order’s ship date. Lead time is confirmed on each quote, based on quantity and the production schedule.
As a guide, one pallet (1.5 metric tons) is ready to load 2 working days from order confirmation, and one 20 ft container (about 14 metric tons) in 5 working days.
Delays and force majeure
- A delay on the factory’s side. If the factory misses the confirmed ship date by more than 30 days, the buyer may cancel and the down payment is refunded in full.
- A vessel or port delay. A vessel or port delay is handled as force majeure.
- Force majeure. Force majeure covers natural disaster, port closure, government action and epidemic. Neither side is liable; the affected side notifies the other promptly. Either side may cancel if the event lasts more than 60 days.
If the buyer does not pay the balance or collect the goods within 20 days of the factory’s notice that the goods are ready, the factory may sell the goods to another customer; the down payment is then refunded minus the factory’s loss on the resale and its costs.
5. Packaging, labels and samples
Packaging, labels and artwork
Packaging is a 25 kg PP/kraft bag, or a custom OEM pouch.
- The buyer is responsible for label rules in its market.
- The factory prints the approved artwork. Once the buyer approves the artwork, printing starts the next working day. Printed packaging takes 7 to 14 days.
- Label artwork is sent as vector — AI or PDF — in CMYK. The factory supplies the bleed and dimensions for the chosen format.
- If the buyer cancels after approving artwork, the buyer pays for the printed packaging.
Samples
Samples are free of charge. Courier delivery is at the buyer’s cost — DHL, FedEx, EMS or CDEK.
6. Quality documents, inspection and claims
Shipping documents
The shipping documents are:
- commercial invoice
- packing list
- Bill of Lading
- Certificate of Analysis
- certificate of origin
On an EXW order, the factory’s documents are the commercial invoice, packing list, Certificate of Analysis and certificate of origin; the Bill of Lading is issued by the buyer’s forwarder.
A Certificate of Analysis is issued for every lot. A sample from every production lot is retained for five years.
Inspection before loading
The buyer may send its own inspector before loading, at its cost, with 3 working days’ notice.
Quality claims
A quality claim is made in writing to the contact email (export@coconutsugar.pro) within 14 days of arrival at the destination port, with photos and an independent lab report.
A disputed quality claim is settled by testing the retained sample at SGS or Sucofindo. The side the test proves wrong pays for the test. An upheld claim gets a replacement or a credit for the affected quantity.
7. Cancellation, clearance and liability
Cancellation by the buyer
If the buyer cancels before production starts, the down payment is refunded minus costs already incurred, such as printed packaging. Once production has started, there is no refund.
Export and import clearance
On an EXW order, the factory handles Indonesian export clearance, at the buyer’s cost.
Liability
The factory’s liability is limited to the invoice value of the affected order. The factory is not liable for indirect losses, such as lost profit or recall costs.
8. Governing law, language and these terms
Governing law and disputes
Sales contracts are governed by Indonesian law. Disputes are settled by arbitration at BANI (Badan Arbitrase Nasional Indonesia) in Jakarta.
Contract language
Proforma invoices and contracts are issued in English, and English governs.
Changes to these terms of sale
The terms in force on the date of the proforma invoice apply to that order.
